LIMITED-TERM LOGO USE LICENSE & ARTWORK RELEASE AGREEMENT
This Logo Use License & Artwork Release Agreement (“Agreement”) is entered into between [Designer/Business Name] (“Designer”) and [Client/Organization Name] (“Client”).
1. License Fee
Client agrees to pay a $100.00 licensing/release fee for the limited right to use the logo/artwork identified as:

Payment must be received before the artwork and/or production-ready files are released for use.
2. License Period
The $100.00 fee grants Client permission to use the artwork for a period of [6 months / 12 months / other period], beginning:

Expiration Date: __________________
At the end of the license period, Client must either discontinue use of the artwork or enter into a new licensing agreement with Designer.
3. Permitted Uses
During the license period, Client may use the artwork for legitimate promotional, organizational, team, event, and merchandise purposes, including apparel, uniforms, printed materials, signage, banners, websites, and social media.
Client may provide the artwork to a third-party printer, embroiderer, sublimation company, sign company, or other vendor solely for the purpose of producing authorized items for Client.
Providing the artwork to a vendor does not give that vendor ownership or independent rights to use, sell, reproduce, distribute, or retain the artwork for other customers or purposes.
4. Ownership of Artwork
Unless a separate written agreement specifically states that ownership has been transferred, Designer retains ownership and copyright of the original artwork and design.
The $100.00 fee is a license to use the artwork for the agreed period and is not a sale or permanent transfer of copyright or ownership.
Designer retains the right to display the artwork in portfolios, social media, websites, advertising, samples, and other materials used to showcase Designer’s work.
5. Restrictions
Client may not sell, sublicense, transfer, give away, or otherwise provide the artwork to another individual, business, team, organization, or designer for their independent use.
Client may not claim authorship or ownership of the original artwork.
The artwork may not be significantly altered, redrawn, recreated, or incorporated into a new logo/design for continued use beyond the license period without written permission from Designer.
6. Modification of Artwork
Minor adjustments necessary for production, including resizing or converting the artwork into an appropriate production format, are permitted.
Any substantial alteration, redesign, recoloring, or modification should receive approval from Designer before use.
7. Expiration and Renewal
Once the license expires, Client’s authorization to create new products, merchandise, promotional materials, or other reproductions using the artwork ends unless the license is renewed.
Items lawfully produced during the active license period may continue to be used after expiration unless otherwise agreed in writing.
Renewal terms and fees will be determined at the time of renewal.
8. Unauthorized Use
Use of the artwork outside the terms or dates of this Agreement is not authorized. Designer reserves all rights and remedies available regarding unauthorized reproduction, distribution, modification, or commercial use of the artwork.
9. No Trademark Clearance
Client is responsible for determining whether the artwork, business name, team name, wording, or other elements are legally available for Client’s intended use or trademark registration unless Designer has specifically agreed in writing to provide such services.
10. Entire Agreement
This Agreement represents the understanding between Designer and Client concerning the licensed artwork. Any changes to these terms must be agreed upon in writing by both parties.
